Responsible for providing legal advice, counsel and services that ensure the organization is operating in compliance with regulations. Anticipate and guard against legal risks involving the organization. 

Draw up contracts related to provider agreements, management agreements, licenses, purchases, employment, insurance and other matters. Study proposed and existing legislation affecting the organization; advise with departments concerned. Has primary transactional drafting and negotiation responsibilities on deals; provide ongoing legal counsel and contract interpretation for senior executives and other business team members. 

 

Responsibilities:

  •  Review, draft, and negotiate agreements (provider agreements, vendor agreements, requests for proposals, statements of work, etc.) for all lines of business.
  • Serve as attorney liaison between the organization and customers/vendors, including participation in pre-contract discussions, contract negotiations and contract changes.

  • Monitor the contract process to assure compliance with applicable regulatory requirements, organization's contractual guidelines, satisfaction of customer specifications, and adherence to organization policy.

  • Develop, maintain, and enhance positive working relationships with LOBs and stakeholders. 

  • Serve as subject matter expert and provide information, guidance, and support in alignment with the both LOB and corporate goals and objectives.

  • Provides thought leadership on the development and implementation of operational and risk management processes and procedures related to EmblemHealth’s business.

  • Establish and maintain a role as consultant/advisor/mediator to clients.

  • Identify, assess, communicate and reduce corporate risk.

  • Assist in the continual development of strategies to mitigate risk. Manage risk and ensure business and compliance needs are accurately reflected in agreements.

  • Keep up to date on trends in legal compliance to anticipate and/or respond to external threats and changes to the legal environment; direct the assessment of potential impact to the organization.

  • Provide legal advice, counsel and services that ensure the organization is operating in compliance with regulations and that regulatory reporting requirements are met including investigating and resolving compliance problems and responding to questions from the business and regulatory agencies.

  • Participate in other legal projects as directed, including managing legal issues that arise in existing relationships and handling pre-litigation legal disputes and inquiries.

  • Coach and mentor, as needed, staff and team members engaged in the development, drafting, negotiating, and modifying of contracts and agreements.

  • Handle other contractual, regulatory, litigation, corporate or real estate matters as requested or required.

Qualifications:

  • JD degree

  • 10 – 12 years of relevant work experience; or 5 – 7 years of specific healthcare provider legal experience (including regulatory compliance and/or contracts negotiation) required

  • Experience in overseeing the drafting and negotiating of complex, enterprise level, high dollar contracts required

  • Experience in managing contracts involving information technology products and services required

  • Experience in managing legal processes and staff in a large organization, preferably in the healthcare industry required

  • Demonstrated ability to effectively communicate with all levels within and external to the organization required

  • Proven ability to persuade and influence without direct authority required
